Terms and Conditions

These Terms explain the rules for using our website and engaging WEBZUNO for website development, software development, and related digital services.

Effective date: 20 October 2026 Last updated: 20 October 2026

1. Introduction

These Terms and Conditions (“Terms”) govern access to and use of the website operated by WEBZUNO Company and, where applicable, our digital services. By using this website or engaging our services, you agree to the terms that apply to your use.

If you are acting on behalf of a business, you confirm that you are authorized to act for that business. Specific projects, subscriptions, or software products may be governed by a separate written agreement or additional terms.

2. Our services

Depending on availability and the agreed scope, we may provide:

Features, deliverables, timelines, pricing, and support commitments will be described in the relevant proposal, quotation, order form, or service agreement. We may improve or update our offerings, subject to existing contractual commitments and applicable law.

3. Acceptable use of our website

You agree not to use our website to:

We may restrict access where reasonably necessary to protect our website, users, or legitimate business interests.

4. Project scope, revisions, and delivery

Development work will be based on the scope agreed in writing. The agreement should identify the deliverables, features, milestones, estimated timeline, testing process, revision allowance, and handover arrangements.

Work outside the agreed scope—including additional features, major redesigns, or new integrations— may require a separate quotation and may affect the delivery date. We will communicate material changes and obtain appropriate approval before undertaking chargeable additional work.

Delivery dates may depend on timely receipt of content, access credentials, feedback, approvals, and other materials from the customer. We will make reasonable efforts to meet agreed timelines and communicate material delays where practicable.

5. Fees, payments, and taxes

Prices and payment milestones will be stated in the applicable quotation, proposal, subscription page, or service agreement. Projects may require an advance payment before work begins.

If payment is overdue, we may give notice and suspend further work or access where permitted by the applicable agreement and law. Refunds and cancellation charges will be governed by the applicable project or subscription terms and mandatory legal requirements.

6. Customer responsibilities

Customers agree to:

For e-commerce websites, the customer operating the store is generally responsible for product accuracy, pricing, orders, fulfilment, shipping, returns, refunds, customer service, taxes, and required business disclosures, unless a separate agreement expressly assigns a specific task to us.

7. Intellectual property

Each party retains ownership of intellectual property it owned before a project. This includes existing software, tools, libraries, frameworks, templates, methods, branding, and materials.

The customer retains rights in materials they provide. Ownership or licensing of custom designs, source code, and project-specific deliverables will be specified in the relevant project agreement. Unless otherwise agreed in writing, any transfer of ownership in custom deliverables may be conditional on full payment of applicable fees.

Third-party and open-source components remain subject to their respective licence terms. Nothing in these Terms transfers intellectual property rights unless expressly agreed in writing.

8. Third-party services and integrations

Our work may rely on third-party services such as hosting providers, domain registrars, payment gateways, cloud platforms, email services, analytics tools, and external APIs. These services may be subject to separate terms, charges, availability, and privacy policies.

Unless expressly agreed otherwise, we are not responsible for independent third-party outages, policy changes, or actions outside our reasonable control. Responsibility for third-party accounts, renewals, and fees should be stated in the relevant project agreement.

9. Privacy and data protection

Our collection and use of personal information are described in our Privacy Policy.

Customers are responsible for ensuring that data they provide or collect through their own websites is handled lawfully. Where we process personal data on a customer's behalf, appropriate data processing terms will be agreed where required by law.

10. Confidentiality

Each party may receive confidential business, technical, financial, or operational information during a project. The receiving party will use such information only for the agreed purpose and take reasonable steps to prevent unauthorized disclosure.

These obligations do not apply to information that is publicly available without breach, independently developed, or lawfully obtained without confidentiality restrictions. Additional requirements may be set out in a separate non-disclosure agreement or service agreement.

11. Hosting, maintenance, and support

Hosting, backups, security updates, monitoring, maintenance, and ongoing support are included only when stated in the applicable proposal, subscription plan, or service agreement. Completing a development project does not, by itself, include indefinite maintenance or support.

Any uptime commitments, support hours, backup procedures, restoration arrangements, or service credits will be described in the applicable agreement. Customers should maintain appropriate backups of important data.

12. Disclaimers

We will perform agreed development services with reasonable care and skill. Unless expressly agreed otherwise, we do not guarantee uninterrupted or error-free operation, compatibility with every device or third-party service, a particular level of website traffic, sales, or business results.

Nothing in these Terms excludes any warranty, right, or remedy that cannot lawfully be excluded or limited.

13. Limitation of liability

To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect or consequential losses arising from the relevant services, including loss of profits, revenue, or business opportunities.

Any monetary cap on liability should be set out in the applicable project or service agreement and reviewed for enforceability. Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.

14. Cancellation, suspension, and termination

Project cancellation, notice periods, treatment of advance payments, charges for work completed, and handover of deliverables will be governed by the applicable project agreement.

Either party may terminate an agreement for a material breach if the breach remains unresolved after any applicable notice and remedy period. We may restrict or suspend services where reasonably necessary to address a security risk, unlawful activity, overdue payment, or material breach, subject to the agreement and applicable law.

Upon termination, amounts properly due for work performed and expenses incurred remain payable. Transfer of project files, source code, credentials, and other deliverables will follow the applicable agreement and any agreed payment conditions.

15. Changes to these Terms

We may update these Terms to reflect changes in our services, business practices, or legal requirements. We will publish the revised version with an updated date and provide notice or obtain consent where required by law or an existing agreement.

Changes will not retroactively modify an existing project agreement unless the parties agree otherwise or applicable law permits it.

16. Governing law and disputes

These Terms are intended to be governed by the laws of India, subject to applicable mandatory legal requirements. The parties will first attempt to resolve disputes through good-faith discussions.

If a dispute cannot be resolved amicably, it may be brought before the competent courts at [City, State, India], subject to applicable law and any valid dispute-resolution agreement. This section does not restrict rights that cannot lawfully be waived.
